AFFILIATED BUSINESS ARRANGEMENT DISCLOSURE STATEMENT

Vuelo Investments and its entities Vuelo Capital, LLC and Vuelo Asset Management, LLC (‘Vuelo Investments’), invest in, own and/or operate a family of companies and real estate holding companies and projects (‘Vuelo Companies’).  Investments include but are not limited to companies doing business as (dba) Waypoint Waypoint Real Estate, Waypoint Property Management, and Northern Air (‘Vuelo Companies’).   Above all else, Vuelo Companies value honesty and transparency in the way we conduct our business.   Related entities are openly disclosed and readily available via public record. Further, all business arrangements are intended to provide value to our clients through high standards for operations, predictability and performance. All fee arrangements by and between Vuelo Companies are intended to be predicated on a not-to-exceed ‘market standard’, commensurate with fees that would be charged by any unrelated , quality third – party provider for a given scope of service.

It is hereby disclosed that Vuelo Companies do have common ownership.  Vuelo Companies, its Principals and/or those employed by Vuelo Companies may financially benefit from inter-company compensation and/or contracts. As a client of Vuelo Investments, Waypoint Real Estate, LLC and/or Waypoint Property Management, LLC, you are not required to utilize the services offered by affiliated providers, and are encouraged to explore the services of alternative providers if you feel there is a better fit for your business needs.  Any business arrangements made between a client and an affiliated provider are subject to the terms outlined within the specific agreement for those services. This disclosure provides notice of the existing business relationships between the Affiliated Business Providers (“Providers”)described below. Due to these relationships, referrals made between these Providers may provide the referring company and/or company principals financial or other benefits.

Affiliated Business Providers
1. Vuelo Capital, LLC (dba Vuelo Investments) is an entity utilized for contracting and front-end acquisition of businesses and/or real estate.
2. Vuelo Asset Management, LLC provides asset management services for investments held by various subsidiaries and special purpose entities, which may or not include special purpose entities formed by Vuelo Capital, LLC or members of Vuelo Capital, LLC. Asset Management services may include management and collection of a Retail Sales Fee (RSF).
3. Waypoint Real Estate, LLC has common ownership with Vuelo Investments, and provides comprehensive real estate brokerage and consultation services.
4. Waypoint Property Management, LLC (dba Waypoint Real Estate) has common ownership with Vuelo Investments, and is a sister company to Waypoint Real Estate, LLC. Waypoint Property Management, LLC specializes in property management services, including management, accounting, and maintenance for commercial properties.
5. Vuelo NCA, LLC (dba Northern Air) has common ownership with Vuelo Investments. Vuelo NCA, LLC specializes in HVAC installation, maintenance, and repair.

Please note the following:
• Other than the service you have directly contracted for, you are NOT required to use any of the services offered by a Vuelo Company or its affiliates as a condition for your purchase, sale, leasing or management of property or other business opportunities.
•Any applicable service fees associated with the Providers will be provided upon your request.
•Non-affiliated service providers with similar service offerings are available. You are free to interview and bid
out services and determine the best Provider for your needs and budget
